| | San Anton Resource Corporation ("San Anton") was formed as a result of an amalgamation between Andaurex Industries Inc. (“Andaurex”) and Kings Minerals Canada Inc. (“Kings Canada”) under the Canada Business Corporation Act (CBCA). Pursuant to a business combination agreement dated August 9, 2006, between Andaurex, Kings Canada, Kings Minerals NL (“Kings Minerals”), Kings Minerals Mexico Pty Ltd. (“Kings Mexico”), and Kings-San Anton S.A. de C.V. (“KSA”), Kings Mexico, a wholly-owned subsidiary of Kings Minerals, agreed to transfer all of the shares of its wholly-owned subsidiary KSA to Kings Canada, another wholly-owned subsidiary of Kings Mexico, in exchange for common shares and common share purchase warrants of Kings Canada. Kings Canada was a special purpose company set up to hold the investment in KSA and to effect the business combination with Andaurex. In accordance with the Transaction, Kings Canada also agreed to complete a private placement financing. The proceeds from the financing were held in escrow and released to San Anton upon completion of the business combination. Contemporaneously with the transfer of the shares of KSA to Kings Canada and completion of the financing, Kings Canada and Andaurex amalgamated on December 6, 2006 to form San Anton Resource Corporation, listed on the TSX under the symbol SNN. Trading in the shares of San Anton Resource Corporation commenced on the TSX December 12, 2006. | | |
